Terms of business

Version 1.0 · effective 24 October 2026

These terms apply to every project and care plan we take on, alongside your quote.

1 About us

  1. 1.1

Pixtachio is a trading name of Tim Hockham Professional Services Limited, a company registered in England and Wales (company number 16011034). Our registered office is HSL Business Hub, Ground Floor, 437 Warrington Road, Rainhill, Prescot, Merseyside L35 4LL.

  2. 1.2

You can contact us at hello@pixtach.io or on our WhatsApp number. "We", "us" and "our" mean Tim Hockham Professional Services Limited. "You" means the business that hires us.

2 Who these terms are for

  1. 2.1

We work with businesses, including sole traders, charities and clubs. When you place an order you confirm that you're buying for your business or organisation, not for personal use.

  2. 2.2

If you are in fact buying as a consumer, you have legal rights that these terms don't take away, including the right to cancel within 14 days. Please tell us before you order.

3 How our agreement starts

  1. 3.1

After you've completed our questionnaire, we send you a written quote by email. It sets out what's included, the price and any extras.

  2. 3.2

Our agreement starts when you accept the quote, by replying "yes" or paying the deposit. It's made up of your quote and these terms. If they disagree, the quote wins.

  3. 3.3

Messages by email or WhatsApp count as "in writing" under these terms, including approvals and notices.

4 Prices and paying

  1. 4.1

Our standard prices are on our website: logo design £130, website £250, logo and website £350, and the care plan £30 a month or £300 a year. Your quote confirms the price for your project. Prices on the website may change, but not the price in a quote you've accepted.

  2. 4.2

All our prices include VAT at the standard rate. Our invoices show the VAT separately, so VAT-registered businesses can reclaim it. If the VAT rate changes, prices for future invoices may change by the same amount.

  3. 4.3

Before we start, you pay a deposit of 50% of the project price. The balance is due when your work is ready to hand over: before your website goes live, or before we send your final logo files.

  4. 4.4

The care plan is paid in advance, monthly or yearly, starting on the day your website goes live.

  5. 4.5

We take payment by card or bank transfer through our payment provider, Stripe. Invoices are due within 7 days unless they say otherwise.

  6. 4.6

Anything not in your quote (extra pages, copywriting, a booking system or shop, extra design rounds, or more than the included care plan changes) is quoted first. We never charge for extra work you haven't agreed to.

5 Late payment

  1. 5.1

If an invoice isn't paid on time, we'll remind you first. We may then:

    • pause work on your project, or pause care plan changes, until it's paid; and
    • charge interest and fixed compensation as allowed by the Late Payment of Commercial Debts (Interest) Act 1998. That's currently 8% a year above the Bank of England base rate, plus £40 on debts under £1,000.
  2. 5.2

If a care plan or domain payment is more than 30 days late, we may take your website offline after giving you at least 7 days' written warning. We'll put it back as soon as you've paid.

6 What we need from you

  1. 6.1

To do our job, we need your questionnaire answers, your text, photos, logo files and other details, and your feedback when we ask for it.

  2. 6.2

You confirm you own, or have permission to use, everything you send us, and that it's accurate and lawful.

  3. 6.3

If we're delayed because we're waiting for something from you, our timings move back by the same amount.

7 Timings and quiet projects

  1. 7.1

Any timings we give you are estimates. We'll keep you updated and tell you quickly if anything is going to take longer.

  2. 7.2

If we haven't heard from you for 60 days, after at least two reminders, we may close your project. We'll keep your deposit to cover the work already done, and you won't owe the balance.

  3. 7.3

You can restart a closed project within 6 months at no extra cost, from the point where we stopped. After that we may need to quote again.

8 Design rounds and approvals

  1. 8.1

Logos: we show you a shortlist of design directions. You choose one, and then two rounds of changes are included.

  2. 8.2

Websites: we share a private preview link, and two rounds of changes are included.

  3. 8.3

A "round" means you send your feedback together, in one message or list, and we update the design. Extra rounds are quoted first.

  4. 8.4

Please check your preview carefully before approving, including spelling, prices, phone numbers and opening hours. Once you've approved, later corrections count as changes. Typos that are our fault we fix for free.

9 How we design logos

  1. 9.1

We use modern design tools, including AI image tools, to explore early ideas. Every logo we deliver is chosen, redrawn and refined by a person.

  2. 9.2

We design every logo for you and don't knowingly copy anyone else's. We don't, however, carry out trade mark searches. If you plan to register your logo or name as a trade mark, we recommend checking the UK IPO trade mark register (or asking a trade mark attorney) first.

  3. 9.3

UK law on who owns material created with AI is still developing. We transfer all the rights we have in your final logo to you (Section 10), but we can't promise those rights will be the same as for a logo drawn entirely by hand.

10 Who owns what

  1. 10.1

Your logo and content. When we've received payment in full, we transfer to you all our copyright and other rights in your final logo and in the words, images and designs made specifically for your website. You can then use, change and register them as you like. On request, we'll sign a short written confirmation of this transfer, and we include one in every handover pack.

  2. 10.2

Our website template. Your website is built on Pixtachio's own website template and tools, which we reuse for all our clients. We keep ownership of those, and give you a permanent, free licence to use, copy and change them for your own business's websites, including if you leave us and host your site elsewhere. You can't resell the template itself.

  3. 10.3

Other people's work. Fonts, icons and stock photos made by others remain theirs and are used under their licences. We only use items whose licences allow commercial use, and we'll tell you about any conditions.

  4. 10.4

Unused ideas. Designs you didn't choose stay with us, and we won't sell them to anyone else as their logo.

  5. 10.5

Showing our work. We may show your finished logo and website in our portfolio and social media once it's public. If you'd rather we didn't, just tell us in writing.

  6. 10.6

Until you've paid in full, you may use the work only to review it.

11 The care plan

  1. 11.1

The care plan includes: hosting your website on our UK servers, the security certificate (padlock), renewing your domain name, uptime monitoring, regular backups, software updates, and up to 5 small changes a month.

  2. 11.2

A small change is a content update that takes us no more than about 30 minutes, such as new opening hours, prices, a paragraph of text or a photo swap. Unused changes don't roll over. Bigger jobs, such as a new page or a new section, are quoted first.

  3. 11.3

You request changes on WhatsApp or by email. We prepare a preview. The change goes live only after you've approved it and we've checked it. We aim to prepare small changes within 2 working days.

  4. 11.4

We work hard to keep your website online, secure and backed up, but no website can be guaranteed to be available all the time. We'll fix problems as quickly as we reasonably can, and we may occasionally need short planned maintenance.

  5. 11.5

Please keep your own copies of important text and photos. Our backups are there to restore your website, not to replace your own records.

  6. 11.6

Monthly plans roll on month to month, and their price can change after 30 days' notice (Section 21). Yearly plans cover 12 months paid in advance, and the price is fixed for that year. Any price change applies only from your next renewal. We'll remind you at least 30 days before a yearly plan renews, including the renewal price.

  7. 11.7

If you don't want the care plan, we'll give you your website files to host elsewhere, and transfer your domain to you (Section 19).

12 Domain names

  1. 12.1

If you'd like us to, we'll register your domain name (web address) for you. Your business is named as the domain's legal owner (the "registrant"). We manage it for you in our Cloudflare account, so you don't need a login. We use a Pixtachio email address as the contact, so we receive renewal and verification notices and can act on them quickly. We'll forward anything that needs you.

  2. 12.2

While you're on the care plan, renewals are included. We're not responsible if a domain expires after the care plan has ended, or after we've given you the transfer details.

  3. 12.3

Domain costs. The care plan includes a domain whose yearly renewal price is up to £20. That covers the usual addresses, such as .co.uk, .uk, .com, .org and .net. We always register and renew domains 3 years at a time, unless you ask us otherwise.

    • If your chosen domain costs more than £20 a year to renew, we'll tell you the extra cost (including VAT) before we buy it, and invoice you for the difference for each year we register or renew.
    • If you ask us to register it for more than 3 years, we'll invoice you for the extra years.
    • Domain invoices are covered by Section 5, so if they're not paid, your website and domain may be affected.
  4. 12.4

You can ask to move your domain away at any time, and we'll give you the transfer code free of charge. Some domain rules stop a transfer for 60 days after a domain is registered or changes owner.

  5. 12.5

Domains are registered under the registries' own rules (Nominet for .uk, ICANN for .com and others), which you agree to follow.

13 Email, integrations and other services

  1. 13.1

We can set up business email for you with Google Workspace, or free forwarding to your existing inbox. Your Google Workspace account is between you and Google, and you pay Google directly.

  2. 13.2

Integrations. We can connect your website to other services you use, for example online booking (such as Cliniko for clinics), payments, reviews or a newsletter. Integrations are an extra, quoted before we start. Our current integrations are listed on our website.

  3. 13.3

Your account with that service is between you and its provider. You sign up, you pay them directly, and you keep the login. We may ask you for a limited-access key or user so we can connect it.

  4. 13.4

While you're on the care plan, we keep the integration working on your website. If the provider changes or withdraws its service, we'll tell you, and quote first if the fix needs more than a small change. We're not responsible for how those companies run their services.

14 Your content and the law

  1. 14.1

You're responsible for what your website says about your business: that your prices, claims, qualifications and other information are accurate and legal, and that you meet any rules for your industry.

  2. 14.2

If someone makes a claim against us because of material you gave us or asked us to publish, you'll cover our reasonable costs of dealing with it.

  3. 14.3

We won't publish anything that we reasonably believe is illegal, misleading or harmful, and we may remove it from a site we host after telling you why.

  4. 14.4

Your website's legal pages. We provide your privacy policy, cookie information and any terms for your website from our own templates, filled in from your questionnaire answers. We aren't lawyers, and these pages are a starting point, not legal advice tailored to your business. We strongly recommend you have them reviewed by a qualified adviser before your website goes live. You're responsible for making sure they're accurate and suit your business, and for keeping them up to date.

  5. 14.4a

We keep one template for each type of business. If we improve the template for your sector, for example after a change in the law, we'll update your website's legal pages to match at no cost while you're on the care plan, and email you to explain what changed. Please read the changes and tell us if anything doesn't suit your business.

  6. 14.5

You're responsible for having the insurance, licences and registrations your business needs. For example: public liability or professional indemnity insurance, any industry registration, and the ICO data protection fee if it applies to you.

  7. 14.6

Before launch, we'll ask you to confirm in writing that you've checked your legal pages and are happy for them to go live.

15 Personal data

  1. 15.1

We handle your personal information as described in our privacy policy.

  2. 15.2

When we host your website, we may process personal data on your behalf, for example messages sent through your contact form. For that data you are the controller and we are your processor, and Schedule A applies.

16 Cancelling a project

  1. 16.1

You can cancel a project at any time by telling us in writing.

  2. 16.2

If you cancel before we've started work, we'll refund your deposit in full. Once we've started, the deposit covers the work done and isn't refundable, and you won't owe the balance.

  3. 16.3

If you cancel after approving the final design but before launch or handover, the balance is due, and we'll send you the finished work once it's paid.

17 Our responsibility to you

  1. 17.1

We'll carry out our work with reasonable care and skill. If something we've done isn't right, tell us and we'll put it right promptly at no cost.

  2. 17.2

We're not responsible for losses that weren't reasonably foreseeable, or for loss of profit, sales, business, opportunity or data (except where restoring your website from our backups is part of the care plan).

  3. 17.3

Our total responsibility to you for everything connected with our agreement is limited to the total amount you've paid us in the 12 months before the claim.

  4. 17.4

Nothing in these terms limits our responsibility for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit.

18 Pausing or ending our agreement

  1. 18.1

Either of us can end our agreement straight away by writing to the other if the other:

    • seriously breaks these terms and doesn't put it right within 14 days of being asked; or
    • becomes insolvent or stops trading.
  2. 18.2

We may pause hosting immediately if your website is being used for anything illegal or has been hacked, to protect you, your visitors and our other clients. We'll tell you straight away and work with you to fix it.

19 Leaving us

  1. 19.1

Monthly care plan: you can cancel at any time with 30 days' notice in writing. Yearly care plan: you can cancel at any time and it won't renew, but we don't refund the months left, unless you're leaving because of a serious failure on our part.

  2. 19.2

When you leave, we'll provide, free of charge:

    • the transfer code for your domain, or a transfer to your chosen provider;
    • a handover pack: your website's files and source code, your logo files, your content and a copyright transfer confirmation; and
    • a short note on how to host your website elsewhere.
  3. 19.3

We'll agree a switch-over date with you and keep your website live for up to 30 days after your plan ends, so nothing goes dark while you move.

  4. 19.4

We'll always help you move your domain, even if money is owed. We may hold back the parts of the handover pack you haven't yet paid for until they're paid.

  5. 19.5

After you've moved, we delete your website and the personal data we no longer need, except records we must keep by law, such as invoices, which we keep for 6 years.

20 Things outside our control

  1. 20.1

We're not responsible for delays or failures caused by things outside our reasonable control, such as major internet or hosting provider outages, cyber attacks we couldn't reasonably prevent, extreme weather, or serious illness. We'll tell you as soon as we can and do our best to limit the effect.

21 Changes to these terms

  1. 21.1

We may update these terms from time to time. Projects already agreed carry on under the terms you accepted.

  2. 21.2

For care plans, we'll give you at least 30 days' notice of any change that affects you. Price changes apply to monthly plans after that notice, and to yearly plans only from the next renewal. If you don't want to accept a change, you can leave before it takes effect without paying any notice period.

22 Complaints and disputes

  1. 22.1

If you're unhappy, please email hello@pixtach.io. We'll reply within 5 working days and try to put it right.

  2. 22.2

If we can't agree, we'll both consider mediation before going to court.

  3. 22.3

These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.

23 The small print

  1. 23.1

Your quote and these terms are our whole agreement. They replace anything said before that isn't written into them.

  2. 23.2

If a court decides part of these terms can't be enforced, the rest still applies.

  3. 23.3

If we don't enforce a right straight away, we can still enforce it later.

  4. 23.4

Neither of us can pass this agreement to someone else without the other's agreement, except that we may pass it to a business that takes over Pixtachio, as long as your rights aren't reduced.

  5. 23.5

Only you and we can enforce these terms; nobody else has rights under them.

A Schedule A: handling personal data for you

  1. A.1

What: contact details and messages that visitors send through your website, plus basic technical logs. Why: to host your website and deliver those messages to you. How long: while we host your website, then as in 19.5.

  2. A.2

We'll process this data only on your instructions (which include these terms), keep it confidential, and make sure anyone working on it is bound by confidentiality.

  3. A.3

We'll keep it secure with appropriate measures, including encrypted connections, access controls, updates and backups.

  4. A.4

We use these sub-processors: Amazon Web Services (hosting and email delivery, UK data centres) and, if you choose them, Google (Workspace email). We'll tell you before adding or replacing one, so you can object.

  5. A.5

We'll help you respond to people exercising their data rights, and tell you without undue delay (and within 48 hours) if we discover a breach affecting your data.

  6. A.6

At the end of our agreement we'll delete or return the data, as you choose, and give you the information you reasonably need to show you've complied with data protection law.
